SKIDRIL INDUSTRIES LLC.
STANDARD TERMS AND CONDITION OF SALE

 

1. TERMS – All invoices are to be paid in full based on the terms specified on the invoices. Skidril Industries, LLC. standard terms are; Check or Credit Card in advance, unless otherwise agreed to and noted on this document. Any unpaid amount which exceeds 30 days past the due date is subject to a 1.5% finance charge per month (18% A.P.R.). All sales are final.

2. ACCEPTANCE – All orders are subject to acceptance or rejection by the seller, Skidril Industries, LLC hereafter referred to as Skidril. Orders are accepted only upon the terms expressly set forth hereon. The terms and conditions hereon supersede wholly any terms and conditions appearing on the Buyer’s request for quotations or purchase order.

3. PRICES – Prices and product design brochures catalogs and manuals are subject to change at any time without notice, except after actual sale occurs. Prices do not include any taxes. Any type of tax, duty, fee or charge of any nature whatsoever imposed by any governmental authority on or measured by the transaction between Skidril and the buyer shall be paid by the buyer in addition to the prices quoted or invoiced. In the event Skidril is required to pay any such tax, duty, fee or charge, the buyer shall reimburse Skidril therefore.

4. CLAIMS – The Buyer’s rec irrevocable acceptance of, and waiver by buyer of any and all claims (other than warranty) with respect to such goods. In no event shall Skidril be liable for special, indirect, incidental or consequential damages.

5. DELAYS – Skidril shall not be liable for any delay or failure in the performance hereof, or for any damages suffered by reason of such delay or failure when such delay or failure is directly, or indirectly, caused by contingencies beyond the control of Skidril. Including, among others, fires, strikes, Acts of God or the Public Enemy, Acts of Government, floods, epidemics, quarantine restrictions, freight embargoes, unusually severe weather and defaults of subcontractors due to any such causes or other contingencies beyond their control, and where the supplies or services to be furnished by the subcontractors are not obtainable from other sources in sufficient time to permit Skidril to meet the required delivery schedule.

6. CANCELLATIONS, CHANGES OR RESCHEDULES – Contracts or orders, or any part of an order, are not subject to cancellations except with the written consent of Skidril. Confirmed orders may be canceled with Skidril’s consent no later than thirty (7) days from the purchase date; but the buyer is required, in such cases, to compensate Skidril for 20% of the full cost of any order as a restocking fee.

8. SERVICE RETURNS – No goods may be returned without prior authorization of Skidril together with specific shipping instructions.

9. BUY BACK AND CREDITS: -As a normal course Skidril does not buy back machines used or in new condition at any time after receipt by the buyer. In the event buyer returns product for the purpose of demanding a buy-back without prior authorization, ownership is not transferred from buyer to Skidril.

9. WARRANTY – Refer to the separate warranty documentation included with your product.

10. SHIPMENT – Shipping dates are not guaranteed. All shipments are FOB point of shipment unless noted on the Skidril acknowledgment to the buyer. Acceptance of a shipment by a common carrier shall constitute delivery to the buyer. Ownership and risk of loss are transferred to the buyer at the point of shipment.

11. AUTHORITY – No agent, employee or representative of Skidril has any authority to bind Skidril to any affirmation, representation or warranty concerning the good sold and unless such an affirmation, representation or warranty is specifically included within the Skidril order acknowledgment or otherwise made in writing and signed by an officer of Skidril, it shall not be enforceable by the buyer.
